28.2 Dissolution of a Division or Industry Group
No Division or Industry Group can be dissolved or amalgamated without an affirmative ballot of the members of that Division or Industry Group.
29 - DUTIES OF MEMBERS OF GOVERNING BODIES
29.1 The members of National Council, the Divisional Councils and Divisional Executive and Divisional Branch Councils, Conferences and Divisional Branch Executives and other governing bodies of the Union and its Divisions however named shall attend the meetings of the governing bodies of which they are members unless there is a good reason for their non-attendance.
29.2 They shall conscientiously attend to the business placed before the governing bodies of which they are members and deal with such business in accordance with the rules.
30 - NATIONAL EXPENDITURE & DISCLOSURE POLICIES & PROCEDURES
30.1 The National Council shall develop and implement policies and procedures relating to expenditure of the funds of the National Council by the National Executive Officers, the National Council and the National Executive.
30.2 The National Council shall develop procedures to satisfy the disclosure obligations in rules 32 to 34.
31 - OFFICERS TO UNDERTAKE APPROVED TRAINING
31.1 Each officer of the National Council and National Executive, whose duties include duties (financial duties) that relate to the financial management of the Union must undertake training that:
31.1.1 is approved by the General Manager, in accordance with section 154C of the Act; and
31.1.2 covers each of the officer's financial duties.
31.2 The officer must complete the training by 30 June 2014 or within six (6) months of the date the Officer begins to hold an Office, whichever is the later.
32 - DISCLOSURE OF OFFICERS' RELEVANT REMUNERATION AND NON-CASH BENEFITS
32.1 Each officer of the National Council and the National Executive, shall disclose to the National Council, any remuneration paid to the officer:
32.1.1 because the officer is a member of a board, if:
32.1.1.1. the officer is a member of the board only because the officer is an officer of the Union; or
32.1.1.2 the officer was nominated for the position as a member of the board by the Union, a Division, a branch of a Division or a peak council; or
32.1.2 by any related party of the Union, in connection with the performance of the officers' duties as an officer.
32.2 The disclosure required by sub-rule 32.1 shall be made to the National Council as soon as practicable after the remuneration is paid to the officer and shall be in writing. The National Council shall develop and implement policies detailing the process by which this disclosure is to be made.
32.3 The National Council shall disclose to the members of the Union, each Division and each Divisional Branch:
32.3.1 the identity of the officers who are the five highest paid in terms of relevant remuneration for the disclosure period, and
32.3.2. for those officers:
32.3.2.1 the actual amount of the officers' relevant remuneration for the disclosure period; and
32.3.2.2 either the value of the officers' relevant non-cash benefits, or the form of the officers' relevant non-cash benefits, for the disclosure period.
32.4 For the purposes of sub-rule 32.3, the disclosure shall be made:
32.4.1. in relation to each financial year;
32.4.2 within six months after the end of the financial year; and
32.4.3 in writing.
33 -DISCLOSURE OF OFFICERS' MATERIAL PERSONAL INTERESTS
33.1 Each officer of the National Council and the National Executive shall disclose to the National Council any material personal interest in a matter that:
33.1.1 the officer has or acquires; or
33.1.2 a relative of the officer has or acquires;
that relates to the affairs of the Union.
33.2 The disclosure required by sub-rule 33.1 shall be made to the National Council as soon as practicable after the interest is acquired; and shall be in writing.
33.3 The National Council shall disclose to the members of the Union, each Division and each Divisional Branch any interests disclosed pursuant to sub-rule 33.1.
33.4 For the purposes of sub-rule 33.3, the disclosures shall be made:
33.4.1 in relation to each financial year;
33.4.2 within six months after the end of the financial year; and
33.4.3 in writing.
34 - DISCLOSURE BY NATIONAL COUNCIL OF PAYMENTS
34.1 The National Council shall disclose to the members of the Union, each Division and each Divisional Branch:
34.1.1 each payment made from the funds of the National Council, during the disclosure period:
34.1.1.1 to a related party of the Union; or
34.1.1.2 to a declared person or body of the Union; or
34.1.2 the total of the payments made from the funds of the National Council, during the disclosure period:
34.1.2.1 to each related party of the Union; or
34.1.2.2 to each declared person or body of the Union.
34.2 Sub-rule 34.1 does not apply to a payment made to a related party if:
34.2.1 the related party is an officer of the Union, a Division or of a branch of a Division; and
34.2.2 the payment:
34.2.2.1 consists of remuneration paid to the officer by the Union, a Division or a branch of a Division; or
34.2.2.2 is reimbursement for expenses reasonably incurred by the officer in performing the officers' duties as an officer.
34.3 For the purposes of sub-rule 34.1, the disclosures shall be made:
34.3.1 in relation to each financial year;
34.3.2 within six months after the end of the financial year; and
34.3.3 in writing.
